Terms of Service

1. Acceptance of Terms

By accessing or using StrataCore ("the Service", "the Platform"), operated by StrataCore Technologies ("Company", "we", "us", "our"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately.

These Terms constitute the entire and exclusive agreement between you and the Company regarding the Service and supersede all prior agreements, representations, and understandings of any kind.

2. Description of Service

StrataCore is a mathematical modeling and portfolio structuring tool that enables users to:

• Input probabilistic financial scenarios (bull, base, bear) for portfolio assets;
• Run deterministic quantitative allocation algorithms on those scenarios;
• Visualize, compare, and export portfolio snapshots and analytical reports;
• Collaborate with team members on portfolio analysis (Team plan).

StrataCore is a provider of technology tools and mathematical optimization software only. It is not a brokerage, registered investment adviser, securities dealer, or asset custodian. The Service does not provide personalized investment advice, recommendations, or fiduciary services.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction. By using the Service, you represent and warrant that you meet these requirements. The Service is not directed at individuals located in jurisdictions where its use would be prohibited by applicable law.

4. Account Registration and Security

You must register for an account to access core features of the Service. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your credentials confidential and not share your password with any third party;
• Notify us immediately of any unauthorized access or suspected breach of your account;
• Be solely responsible for all activities occurring under your account.

5. Subscription Plans and Billing

StrataCore offers subscription tiers (Free, Pro, Team) with distinct feature entitlements as described on the Pricing page. By subscribing to a paid plan, you authorize the Company or its payment processor (Stripe) to charge your payment method on a recurring basis in accordance with your selected billing cycle.

• Free Plan: No payment required; limited to the features specified at the time of registration.
• Paid Plans: Billed monthly or annually, as selected. Prices are subject to change with 30 days' prior notice.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by applicable law.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation;
• Engage in market manipulation, securities fraud, or any activity that constitutes financial crime;
• Reverse engineer, decompile, or attempt to extract the source code of the Service;
• Transmit malware, viruses, or any code designed to disrupt, damage, or interfere with the Service;
• Access or attempt to access other users' accounts or data without authorization.

7. Intellectual Property

All content, algorithms, software, trademarks, trade names, and service marks associated with StrataCore are the exclusive property of the Company or its licensors. Nothing in these Terms grants you any right, title, or interest in such intellectual property.

You retain ownership of the data and scenarios you input into the Service ("User Content"). You grant the Company a non-exclusive, worldwide, royalty-free license to process, store, and display your User Content solely for the purpose of providing the Service to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. PORTFOLIO ALLOCATIONS, PROJECTIONS, AND ANALYSES GENERATED BY THE SERVICE ARE MATHEMATICAL MODELS BASED ON USER-PROVIDED INPUTS. THEY DO NOT CONSTITUTE INVESTMENT ADVICE AND ARE NOT GUARANTEES OF FUTURE PERFORMANCE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR INVESTMENT LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
